The Charter School will operate under the ultimate control of its Board of Directors. The Board of Directors consists of seven members, at least four of whom shall be parents or guardians of students enrolled in the Charter School. One member will be appointed by the Arabia Mountain Heritage Area Alliance. One member shall be the President of the PTO described in below. Another Board member shall be appointed by the DeKalb County Chamber of Commerce, in consultation with the Board od Directors, and shall represent an industry actively operating in South DeKalb County. The remaining four Board members shall be selected by the PTO at its first annual meeting, which will occur on or before October 1 of each school year.
Terms shall be staggered as follows:
Post 1 – PTO President – 1 year
Post 2 – AMHAA representative – 2 years
Post 3 – Industry representative – 2 years
Post 4 – Parent – 1 year Post 5 – Parent – 1 year
Post 6 – Parent – 2 years
Post 7 – Parent – 2 years
However, the positions may be refilled by the same person in accordance with the Bylaws of the School’s Board of Directors. All Board members must be residents of Georgia. If possible, Board composition should include an individual with experience in accounting or financial management. It shall be the responsibility of the Board of Directors to carry out the terms of this Charter and to create policies and guidelines necessary for the smooth operation of the School. The Board’s meetings and actions shall be subject to the provisions of 50-14-1 et seq. and 50-18-70 et seq.

No later than October 1, 2005, and by October 1 of each year thereafter, the initial Board of Directors will call a meeting of the Charter School’s Parent Teacher Organization (PTO) for the purpose of electing or re-electing parents/guardians of students enrolled in the Charter School as members of the Board of Directors. Parent/guardian Board members must obtain the vote of at least two-thirds of the parents and guardians present at the meeting and will serve their term unless removed for cause. Removal of any Board member shall be automatic if the member misses three or more Board meetings in any given school year. Any board member also may be removed at any time by majority vote of the other members of the Board of Directors. The Board of Directors shall meet a minimum of six times per year. The Board of Directors shall decide by majority vote how many additional meetings are required to conduct the business of the Charter School. A schedule of the date, time, and place of regular meetings will remain posted at the Charter School. When meetings not on the regular schedule are held, notice will be given to the local newspapers and will be posted at the Charter School not less than 24 hours before the meeting is held. The notice, which shall be posted in a conspicuous manner, shall include the following language: “This meeting is open to all members of the public under Georgia’s Open Meetings Act”. The Articles of Incorporation and By Laws for the School are attached to the accompanying Charter Petition in Appendices D-6 and D-7.
